Michael is engaged in the practice of representation of third party debt providers in senior debt and mezzanine level financings; with a concerted focus on leveraged and cash flow financings supporting merger and acquisition transactions, leveraged buyouts, asset-based debt facilities and bond and other credit enhanced debt offerings.  Duties include the drafting, negotiating and closing of syndicated and bilateral debt offerings involving Eurodollar rate financings, cross-border merger financings, intellectual property filings, international trade finance transactions, mezzanine debt and intercreditor issues, and hedge and derivative transactions and participation in all aspects of due diligence, inclusive of review of merger agreements, review of all insurance and environmental policies, assessment of litigation matters and organizational documentation of all applicable parties.
